Job Responsibilities
- Draft, review, and negotiate corporate transaction documents, including merger agreements, stock and asset purchase agreements, and joint venture contracts.
- Advise on corporate governance matters for boards, committees, and shareholders, including fiduciary duties, bylaws, and shareholder agreements.
- Support securities offerings and compliance, including private placements, 1933/1934 Act reporting, and Regulation D or Regulation S matters.
- Manage due diligence processes for mergers and acquisitions, venture financings, and strategic investments, identifying legal and regulatory risks.
- Prepare and maintain corporate organizational documents, cap tables, minutes, consents, and corporate housekeeping for subsidiaries and affiliates.
- Collaborate with cross-functional teams (finance, tax, HR, product) to assess legal risk and structure business initiatives and commercial arrangements.
- Monitor developments in corporate, securities, and regulatory law and update internal stakeholders and policies accordingly.
Minimum Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license and good standing with at least one state bar, often in the jurisdiction where the employer operates.
- 1–3 years of corporate or transactional experience for entry-level and junior associate roles; 4–8+ years for mid-level and senior positions.
- Foundational experience in mergers and acquisitions, corporate governance, securities, or general corporate counseling gained at a law firm or in-house legal department.
- Strong legal research, drafting, and contract negotiation skills, with attention to detail and deal management capabilities.
- Ability to communicate complex legal concepts clearly to business stakeholders and collaborate effectively with cross-functional teams.
Preferred Skills
- Experience leading or second-chairing M&A deals, venture financings, or strategic partnerships, including managing closing checklists and workstreams.
- Familiarity with public company reporting, stock exchange rules, and securities compliance, or with startup and venture-backed company governance.
- Comfort working with technology tools such as contract lifecycle management (CLM) systems, cap table platforms, and virtual data rooms.
- Industry-specific knowledge in areas such as SaaS, fintech, healthcare, life sciences, or manufacturing, including related regulatory frameworks.
