Job Responsibilities
- Advise companies, boards of directors, and investors on mergers and acquisitions, corporate restructurings, and joint ventures.

- Maintain and update corporate records, entity structures, and compliance calendars, including minutes, resolutions, and regulatory filings.
Minimum Requirements
- Juris Doctor (J.D.) or equivalent law degree from an accredited institution.
- Active license to practice law and good standing with at least one state or national bar; additional admissions are often preferred for multi-jurisdictional work.
- 1–3 years of corporate or transactional experience for junior and entry-level roles; 4–8+ years for senior associate and counsel positions.
- Demonstrated experience in mergers and acquisitions, corporate governance, or securities law gained at a reputable law firm or in-house legal department.
- Strong drafting, negotiation, and analytical skills with the ability to manage multiple transactions or matters simultaneously.
- Excellent communication skills and the ability to advise business stakeholders in clear, commercially focused language.
- Proficiency with standard legal research tools and comfort working with data rooms, contract management systems, and collaboration platforms.

- Experience with cross-border M&A, multi-jurisdictional corporate structuring, or international joint ventures.
