Job Responsibilities
- Draft, review, and negotiate commercial contracts including MSAs, SOWs, SaaS and cloud agreements, NDAs, reseller and licensing agreements.
- Advise sales, procurement, and business stakeholders on contract risks, limitations of liability, indemnities, warranties, and termination provisions.
- Ensure contracts comply with applicable laws and regulations, including data protection, consumer protection, and industry-specific requirements.
- Standardize contract templates, playbooks, and fallback positions to streamline negotiations and reduce cycle times.
- Manage contract lifecycles using CLM or document management tools, including version control, approvals, and contract renewals.
- Collaborate with cross-functional teams such as finance, security, privacy, and operations to align contract terms with operational capabilities.
- Support cross-border transactions by coordinating with local counsel and adapting contract language for multi-jurisdictional deals.
Minimum Requirements
- Qualified lawyer with a Juris Doctor (JD), LL.B., or equivalent law degree from an accredited institution.
- Active license to practice law and good standing with a relevant bar association or law society.
- 1–3 years of experience in commercial contracts for junior roles; 4+ years for mid-level and senior positions.
- Solid knowledge of contract law principles, risk allocation concepts, and standard commercial terms (e.g., indemnity, limitation of liability, SLAs).
- Experience drafting and negotiating agreements such as MSAs, SOWs, SaaS contracts, NDAs, and licensing or reseller agreements.
- Strong written and verbal communication skills, with the ability to explain legal concepts to non-lawyers and influence business stakeholders.
- Ability to manage multiple contract workflows simultaneously and meet tight closing or quarter-end deadlines.
Preferred Skills
- Experience with technology and SaaS transactions, including data processing addendums, security schedules, and service-level agreements.
- Familiarity with contract lifecycle management (CLM) systems, e-signature tools, and document automation platforms.
- Background in working with high-growth startups, fintech, or enterprise technology companies on vendor and customer contracts.
