Job Responsibilities

  • Advise public and private companies, private equity firms and investors on mergers and acquisitions, joint ventures, reorganizations and strategic transactions.
  • Draft, review and negotiate key transaction documents, including stock and asset purchase agreements, merger agreements, shareholder agreements, NDAs and commercial contracts.
  • Support securities offerings and capital markets transactions, including private placements, PIPEs, IPO preparation and ongoing Exchange Act reporting compliance.
  • Provide guidance on corporate governance, fiduciary duties, board and committee processes, shareholder rights and entity formation and structuring.
  • Lead and coordinate legal due diligence, manage data rooms, identify key risks and work with cross-functional teams to address findings in deal documentation.
  • Assist with regulatory and compliance issues involving SEC, NYSE/Nasdaq, anti-corruption, sanctions, data privacy and industry-specific regulations.
  • Collaborate with internal stakeholders or client teams in finance, tax, HR and operations to implement transaction structures and post-closing integration.

Minimum Requirements

  • Juris Doctor (J.D.) degree from an accredited U.S. law school; strong academic credentials preferred.
  • Admission to the New York State Bar, or eligibility for prompt admission or in-house counsel registration in New York.
  • 1–8+ years of corporate, M&A, or securities law experience at a reputable law firm, in-house legal department or financial institution, depending on role level.
  • Demonstrated experience drafting and negotiating corporate and transactional documentation, including purchase agreements and core ancillary documents.
  • Solid understanding of corporate law principles, fiduciary duties, governance frameworks and basic federal securities law concepts.
  • Excellent written and oral communication skills, with the ability to explain complex legal issues to business stakeholders and non-lawyers.
  • Proven ability to manage multiple transactions or workstreams simultaneously in a deadline-driven, high-volume environment such as NYC deal practice.

Preferred Skills

  • Experience with cross-border transactions, multinational clients or multi-jurisdictional corporate structures.
  • Background in a specific industry vertical such as financial services, fintech, life sciences, technology, media and telecommunications or real estate.
