Job Responsibilities
- Lead and support mergers and acquisitions, joint ventures, and strategic alliance transactions from initial structuring through closing.
- Draft, review, and negotiate purchase agreements, stock and asset purchase agreements, shareholder agreements, NDAs, and commercial contracts.
- Coordinate and conduct legal due diligence, identify key risks, and prepare diligence reports and risk-mitigation recommendations.
- Advise on corporate governance, securities law compliance, and board and shareholder approvals related to transactional matters.
- Collaborate with tax, employment, IP, antitrust, and regulatory counsel to address cross-functional issues in complex deals.
- Prepare and manage closing checklists, ancillary documents, closing deliverables, and post-closing obligations.
- Support ongoing commercial contracting, including SaaS agreements, licensing, distribution, supply, and service agreements.
Minimum Requirements
- Juris Doctor (J.D.) or equivalent law degree from an accredited law school.
- Active license to practice law and good standing with at least one U.S. state bar or relevant foreign bar.
- 1–3 years of experience for junior roles or 4–8+ years for mid-level and senior transactional positions in a law firm or in-house setting.
- Demonstrated experience with mergers and acquisitions, financings, or complex commercial contracting.
- Strong drafting, negotiation, and analytical skills with attention to detail under tight transaction timelines.
- Ability to manage multiple deals simultaneously and communicate effectively with business, finance, and technical stakeholders.
Preferred Skills
- Experience with cross-border transactions, multi-jurisdictional deal structures, and international regulatory issues.
- Background in a specific industry such as technology, fintech, life sciences, energy, real estate, or financial services.
- Familiarity with private equity and venture capital deal structures, including preferred stock, convertible notes, and equity incentive plans.
- Comfort using document automation, contract lifecycle management (CLM) tools, virtual data rooms, and other legal technology.
- Ability to lead deal teams, mentor junior lawyers, and interact directly with C-suite executives and investment committees.
