Job Responsibilities

  • Collaborate with cross-functional teams (finance, tax, HR, product) to assess legal risk and structure business initiatives and commercial arrangements.
  • Monitor developments in corporate, securities, and regulatory law and update internal stakeholders and policies accordingly.

Minimum Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license and good standing with at least one state bar, often in the jurisdiction where the employer operates.
  • 1–3 years of corporate or transactional experience for entry-level and junior associate roles; 4–8+ years for mid-level and senior positions.
  • Foundational experience in mergers and acquisitions, corporate governance, securities, or general corporate counseling gained at a law firm or in-house legal department.
  • Strong legal research, drafting, and contract negotiation skills, with attention to detail and deal management capabilities.
  • Ability to communicate complex legal concepts clearly to business stakeholders and collaborate effectively with cross-functional teams.

Preferred Skills

  • Experience leading or second-chairing M&A deals, venture financings, or strategic partnerships, including managing closing checklists and workstreams.
